Access to ArbiBase data is a limited, revocable license. This agreement defines what you can do with it, what you can't, and what happens if the line is crossed.

§ 01

Purpose

ArbiBase operates a proprietary database and verification platform connecting property owners and rental operators. To access the Services, Operators are granted limited access to sensitive and proprietary information. This Agreement protects ArbiBase proprietary data, owner contact information, verification records, market intelligence, internal workflows, business relationships, and trade secrets.

§ 02

Confidential information

"Confidential Information" includes all non-public information provided through the Services, whether written, oral, electronic, visual, or otherwise, including: property addresses; owner names and contact information; phone numbers and emails; consent documentation; verification status and internal notes; lease terms; market signals; restrictions and building policies; operational scoring; platform methodologies; internal processes; business strategies; CRM logs; and analytics insights.

What is not confidential

Information that is publicly available without breach, was lawfully known prior to disclosure, or was independently developed without use of ArbiBase data is not considered Confidential Information.

§ 03

Use of confidential information

Confidential Information may be used solely for: evaluating rental arbitrage opportunities; communicating with property owners regarding lease inquiries; and securing legitimate STR/MTR lease agreements.

You may not

  • Resell or redistribute Confidential Information
  • Share data with third parties outside your business operations
  • Export bulk property lists
  • Build competing databases using ArbiBase data
  • Copy or replicate structured verification workflows
  • Republish owner contact data
  • License data access to others

All use must remain internal to your business operations.

§ 04

Non-circumvention

Operators agree not to circumvent ArbiBase by: attempting to build direct long-term sourcing relationships for the purpose of bypassing the platform; extracting data to recreate the ArbiBase database; encouraging owners to disengage from ArbiBase; or using obtained information to compete directly with ArbiBase. Any attempt to systematically extract platform value outside permitted use constitutes material breach.

§ 05

Non-solicitation of clients

During your active subscription and for twelve (12) months following termination, you agree not to: directly solicit ArbiBase users or property owners for unrelated services; recruit users and/or landlords into competing platforms; interfere with ArbiBase's business relationships; or divert business opportunities originating through ArbiBase.

§ 06

Non-solicitation of personnel

During your active subscription and for twelve (12) months following termination, you agree not to recruit or attempt to recruit ArbiBase employees or contractors, induce ArbiBase personnel to leave employment, or offer employment to ArbiBase founders or team members. This restriction applies whether solicitation is direct or indirect.

§ 07

Ownership of data

All Confidential Information remains the exclusive property of ArbiBase, LLC. Nothing in this Agreement transfers ownership rights to you. Access is granted as a limited, non-exclusive, revocable license only.

§ 08

Protection obligations

You agree to: maintain reasonable safeguards to protect Confidential Information; restrict access within your organization to those with a legitimate need to know; prevent unauthorized copying or distribution; notify ArbiBase immediately of suspected data breaches; and use secure systems to store exported information.

§ 09

Breach

Unauthorized disclosure, misuse, redistribution, scraping, bulk exporting, or circumvention constitutes material breach. In the event of breach, ArbiBase may: immediately terminate your account; suspend access without notice; revoke subscription privileges; pursue legal remedies; seek injunctive relief; seek monetary damages; and recover attorneys' fees. Irreparable harm is presumed in the event of Confidential Information misuse.

Zero tolerance for data misuse Scraping, bulk exporting, or redistributing ArbiBase property or owner data will result in immediate termination and legal action.
§ 10

Remedies

Because monetary damages may be insufficient to remedy breach, ArbiBase may seek temporary restraining orders, preliminary injunctions, and permanent injunctions without the requirement of posting bond, where permitted by law.

§ 11

Term & survival

This Agreement becomes effective upon platform access, remains in effect during your active subscription, and survives termination of Services and account closure. Sections relating to confidentiality, ownership, non-solicitation, and remedies survive indefinitely.

§ 12

Governing law

This Agreement shall be governed by the laws of the State of Florida. Any disputes shall be resolved in accordance with the arbitration provisions contained in the ArbiBase Terms of Service (venue: Miami-Dade County, FL).

§ 13

Severability

If any provision of this Agreement is deemed unenforceable, it shall be modified to the minimum extent necessary to make it enforceable, and the remainder of the Agreement shall remain in full force and effect.

§ 14

Entire agreement

This Agreement supplements and incorporates by reference the ArbiBase Terms of Service. In the event of conflict, this Agreement controls on confidentiality and non-solicitation matters.
